Terms of Service

Last updated: 5 November 2026

This document is published in English.

These Terms are an agreement between Trivet Labs (CAC registration number 3164913), referred to here as "Trivet Labs", "we" or "us", and each cooperative and person using Coopadi. By using Coopadi you accept these Terms. If you accept them for a cooperative, you confirm that you have authority to bind it.

  1. 1. The service

    Coopadi is software that helps cooperatives keep their records and run their operations, including members, contributions, shares, loans, approvals, dividends, reports and member communication. Officers and auditors use it on the web, and members use it through the mobile app. New cooperatives receive a 30-day free trial.

  2. 2. Coopadi is not a bank

    Trivet Labs is a technology provider. We are not a bank, microfinance bank, deposit-taking institution, lender or investment adviser, and Coopadi is not licensed by the Central Bank of Nigeria to provide these services. We do not hold, invest or lend members' money through Coopadi. Contributions, loans and dividends are the cooperative's own transactions, made through its own accounts and recorded in Coopadi.

    Lending, approval and dividend decisions belong to the cooperative. Figures and reports in Coopadi depend on the information entered, and nothing in Coopadi is legal, tax, accounting or financial advice.

  3. 3. Eligibility and accounts

    • You must be at least 18 and allowed by your cooperative to use Coopadi.
    • Keep your password, PIN and devices secure, and do not share your account.
    • The cooperative is responsible for giving officers suitable roles and for removing access promptly when someone leaves a role.
    • You are responsible for activity under your account unless it results from our breach of these Terms.
  4. 4. The cooperative's responsibilities

    Each cooperative using Coopadi must:

    • keep its registration in good standing and comply with the Nigerian Cooperative Societies Act, applicable state cooperative laws and its own bye-laws;
    • comply with any consumer protection, lending, tax and record-keeping laws that apply to its activities;
    • enter accurate information and review figures, reports and documents before relying on them;
    • have a lawful basis to record member data and give members the information the law requires; and
    • recover debts fairly, without using Coopadi to threaten, harass or publicly shame anyone.
  5. 5. Members

    A member's relationship is with their cooperative, which grants access to the app and records what it shows. Questions or disputes about balances, loans, dividends, fines or membership should go to the cooperative. Trivet Labs is not a party to them, although we may provide records the cooperative needs to resolve them.

  6. 6. Acceptable use

    You must not:

    • use Coopadi for fraud, money laundering or any other unlawful purpose;
    • enter false records, impersonate another person or access data you are not authorised to see;
    • copy, resell or reverse engineer Coopadi, except as the law allows;
    • disrupt the service, probe it for weaknesses without our written permission or scrape it by automated means; or
    • upload malicious code or content that infringes another person's rights.
  7. 7. Fees and billing

    • Fees depend on the plan and the cooperative's number of members, and are shown before you subscribe. Any tax we must charge by law is shown on the invoice.
    • Card subscriptions renew automatically at the end of each monthly or annual period until cancelled. Invoices can also be paid by transfer where offered.
    • Cancelling stops future renewals. An authorised officer can cancel at any time.
    • If payment remains overdue after the grace period shown in billing, the cooperative's account may become read-only until it is paid.
    • We will give at least 30 days' notice of a price change, which applies from the next renewal after that notice.
    • Fees are non-refundable, including for unused time, unless the law requires a refund or we charged you in error.
  8. 8. Your data and our software

    The cooperative owns the data it puts into Coopadi and allows us to host and use it as needed to provide the service. Trivet Labs owns Coopadi, including its software, design and brand. These Terms give you a limited, non-transferable right to use Coopadi for the cooperative's own operations while they apply. If you send us feedback, we may use it without any obligation to you.

  9. 9. Data protection

    Our Privacy Policy explains how personal data is handled. For member data, the cooperative is the data controller and Trivet Labs is its data processor under the Nigeria Data Protection Act 2023. As processor, we will:

    • process the data only on the cooperative's instructions, which include these Terms and its use of Coopadi, unless the law requires otherwise;
    • keep it confidential and protect it with appropriate technical and organisational measures;
    • use service providers bound by suitable data protection obligations, and remain responsible for their work;
    • help the cooperative respond to data subject requests and notify it of a personal data breach without undue delay; and
    • delete or anonymise the data after the export period described in these Terms, unless the law requires us to keep it.
  10. 10. Availability and support

    We work to keep Coopadi available and to fix problems promptly, but we do not promise uninterrupted or error-free service. We may carry out maintenance and change features, and we will give reasonable notice of a change that materially reduces what a paying cooperative can do.

  11. 11. Suspension and termination

    We may suspend or close an account for non-payment, a serious breach of these Terms, suspected fraud or a legal or security risk. We will give notice first where it is reasonable and lawful to do so. We may also end the service for a cooperative on 30 days' written notice.

    After a cooperative leaves Coopadi or its account is closed, it has 90 days to export its data. We then delete or anonymise that data, except records we must keep by law or need for a legal claim.

  12. 12. Disclaimer

    To the extent the law allows, Coopadi is provided "as is" and "as available", without warranties that are not stated in these Terms.

  13. 13. Limitation of liability

    To the extent the law allows, Trivet Labs is not liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss caused by inaccurate entries or by a cooperative's or officer's decisions or actions.

    Our total liability for all claims relating to Coopadi is limited to the subscription fees the cooperative paid to Trivet Labs in the 12 months before the event giving rise to the claim.

    Nothing in these Terms limits liability for fraud or any other liability, or any consumer right, that cannot be limited by law.

  14. 14. Indemnity

    The cooperative will compensate Trivet Labs for third-party claims and related reasonable costs arising from the cooperative's data, its dealings with its members or its breach of these Terms, except to the extent the claim was caused by our own breach.

  15. 15. Changes to these Terms

    We may update these Terms and will change the date at the top when we do. We will give at least 30 days' notice of significant changes by email or in the app. If you keep using Coopadi after they take effect, you accept the updated Terms. If you do not agree, stop using Coopadi and cancel before then.

  16. 16. Governing law and disputes

    These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, the parties will first try to resolve it through good-faith discussion for 30 days and then through mediation. If it remains unresolved, the courts of competent jurisdiction in Nigeria will decide it. Either party may ask a court for urgent relief at any time.

  17. 17. General

    Neither party is liable for delay or failure caused by events beyond its reasonable control, such as power or network outages, or government action. You may not transfer these Terms without our written consent, and we may transfer them as part of a reorganisation or sale of the business. If part of these Terms cannot be enforced, the rest still applies. A failure to enforce a term is not a waiver of it. These Terms and the Privacy Policy are the whole agreement between us about Coopadi.
